THE EXCLUSION OF DAMAGES IN THIS SECTION 7 IS INDEPENDENT OF YOUR EXCLUSIVE REMEDY IN SECTION 8 AND SURVIVES IN THE EVENT SUCH REMEDY FAILS OF ITS ESSENTIAL PURPOSE OR IS OTHERWISE DEEMED UNENFORCEABLE.

8. Exclusive Remedy

IF YOU ARE DISSATISFIED WITH THE BONNEVILLE MULTIFAMILY CAPITAL WEB SITE OR ANY OF THE SERVICES OFFERED THEREIN, IF YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, OR IF YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST BONNEVILLE MULTIFAMILY CAPITAL WITH RESPECT TO THIS AGREEMENT OR THE BONNEVILLE MULTIFAMILY CAPITAL WEB SITE AND THE SERVICES THEREIN, THEN YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE BONNEVILLE MULTIFAMILY CAPITAL WEB SITE AND THE WEB SITE SERVICES.

9. Indemnification

You agree to indemnify and hold Bonneville Multifamily Capital and its subsidiaries, affiliates, officers, agents and employees, harmless from any loss, including attorney’s fees, arising out of or in connection with any claim, demand, action, or liability made by any third party related to or arising out of (1) information or material you submit, post, transmit, or otherwise make available through the Bonneville Multifamily Capital Web Site; and (2) your use of the Bonneville Multifamily Capital Web Site or Services; (3) your connection to the Bonneville Multifamily Capital Web Site or Services; and (4) any violation of these Terms and Conditions.

Any termination of any aspect of the Web Site or Services including your access to the Web Site, shall not terminate or otherwise affect any separate agreements related to the Web Site and Services including, but not limited to, any loan agreements, and all amendments thereto. All rights and obligations that become absolute before expiration or termination of the Terms and Conditions or that are of a continuing nature will survive any expiration or termination of these Terms and Conditions for any reason.

11. Waiver and Severability of Terms

The failure of Bonneville Multifamily Capital to exercise or enforce any right or provisions of these Terms and Conditions shall not constitute a waiver of such right or provision. Any and all waivers must be done in writing to be enforceable. If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and all other provisions of these Terms and Conditions shall remain in full force and effect.

12. Jurisdiction

Bonneville Multifamily Capital controls the Web Site from its offices within the State of Utah. Claims for enforcement, breach of violations of duties or rights under this Agreement will be adjudicated under the laws of the State of Utah, without reference to conflict of law principles. You hereby irrevocably consent to the exclusive jurisdiction and venue of state or federal courts in Salt Lake County, Utah USA in all disputes arising out of or relating to the use of the Bonneville Multifamily Capital Web Site or Services.
